Terms of Service

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that you meet these requirements and that all information you provide is accurate and current.

2. Account Registration

• You may register as a Guest, Host, Studio, or other role designated by GOH.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You may register using email or through supported third-party authentication (e.g., Google OAuth). By doing so, you authorize GOH to access basic profile information from that provider as necessary to create and operate your account.
• You must notify us promptly of any unauthorized use of your account.

3. Description of Service

GOH provides a marketplace and matchmaking platform that uses AI-assisted tools to help connect podcast guests, hosts, and studios. GOH facilitates introductions, communications, scheduling, and (where applicable) payments between users, but:

• GOH is not a party to any agreement, appearance, or arrangement between Guests, Hosts, or Studios.
• GOH does not guarantee the outcome, quality, accuracy, or suitability of any match, appearance, or content produced as a result of using the Service.
• Any agreements regarding compensation, content rights, recording, editing, or distribution of a podcast appearance are solely between the participating users, unless otherwise expressly stated by GOH.

4. User Conduct

You agree not to:

• Provide false, misleading, or impersonated information in your profile or communications;
• Use the Service for any unlawful, harassing, discriminatory, or abusive purpose;
• Circumvent, disable, or interfere with security features of the Service;
• Scrape, harvest, or collect data from the Service without authorization;
• Use the Service to solicit users for purposes unrelated to legitimate podcast guesting, hosting, or production;
• Upload content that infringes the intellectual property, privacy, or other rights of any third party;
• Attempt to reverse-engineer, decompile, or extract source code or underlying algorithms from the Service, including AI matchmaking systems.

GOH reserves the right to suspend or terminate any account that violates these Terms, at its sole discretion.

5. Payments and Fees

• Certain transactions on GOH (e.g., paid bookings, premium features, subscription tiers) are processed through our third-party payment processor, Stripe.
• By making or receiving a payment through the Service, you agree to Stripe's terms of service and authorize GOH and Stripe to process the transaction.
• GOH may charge platform or service fees, which will be disclosed prior to any transaction.
• Refunds and cancellations are subject to the specific policy presented at the time of booking. Absent a specific policy, refunds are at GOH's discretion.
• You are solely responsible for any taxes arising from payments made or received through the Service.

6. User Content and Intellectual Property

• Your Content: You retain ownership of the profile information, photos, bios, and other content you submit ("User Content"). By submitting User Content, you grant GOH a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate and promote the Service.
• Our Content: The Service, including its design, software, AI matchmaking systems, trademarks, and underlying technology, is owned by GOH or its licensors and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
• Recorded Content: GOH does not own or control podcast recordings, episodes, or other content created as a result of a match. Rights to such content are governed by the agreement between the participating Guest, Host, and/or Studio.

7. AI Matchmaking Disclosure

GOH uses artificial intelligence and automated systems to suggest matches, rank profiles, and facilitate introductions between users. These recommendations are provided for informational purposes only and do not constitute a guarantee of compatibility, quality, or successful outcome. You are responsible for independently evaluating any match before entering into an arrangement.

8. Third-Party Services

The Service integrates with third-party services (including but not limited to Google OAuth, Stripe, and email delivery providers). Your use of those services is subject to their respective terms and privacy policies. GOH is not responsible for the acts, omissions, or policies of third-party providers.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY MATCH OR INTRODUCTION WILL RESULT IN A SUCCESSFUL PODCAST APPEARANCE OR ANY PARTICULAR OUTCOME.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOH AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE OR ANY INTERACTION, MATCH, OR TRANSACTION FACILITATED THROUGH THE SERVICE. GOH'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GOH IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

11. Indemnification

You agree to indemnify and hold harmless GOH and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your interactions with other users.

12. Termination

You may stop using the Service and delete your account at any time. GOH may suspend or terminate your access to the Service, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users or the Service.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.

Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in accordance with Nevada Revised Statutes Chapter 38A, rather than in court, except that either party may bring an individual claim in small claims court where eligible. Arbitration shall take place in Clark County, Nevada, or another mutually agreed location, and may be conducted remotely by video where permitted.

Specific Authorization Required. Under NRS 597.995, this arbitration provision is not effective unless you separately and affirmatively acknowledge it. By checking the box or clicking "I Agree" presented alongside this arbitration provision at account signup — separate from your general acceptance of these Terms — you specifically authorize and agree to resolve disputes through arbitration as described above. If no such separate acknowledgment is presented to you, this arbitration provision shall not apply, and disputes shall instead be resolved in the state or federal courts located in Clark County, Nevada, which shall have exclusive jurisdiction.

Class Action Waiver. To the extent permitted by law, disputes shall be resolved on an individual basis only, and you waive any right to bring or participate in a class, collective, or representative action.

14. Changes to These Terms

GOH may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on the Site and updating the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
